Senior Consulting’s principal, Tim Cassidy, is a former owner, operator, and manager of skilled care and senior living projects. Our team has a depth of relationships, including many retired sea-level executives who owned and or operated many facilities to support an extensive due diligence process on behalf of owners, buyers, and investors. Past engagements include working with owners in the sale of 6, 11, and 28 facilities, respectively, let alone many individual transactions.

In August 2016, Senior Consulting, LLC , was engaged by Shanghai China based Union Life Insurance Company who had contracted to purchase 28 facilities owned by Welltower, Inc. (www.welltower.com) and operated by Genesis HealthCare (www.genesishcc.com). SC provided substantial due diligence support within a three-month period, including the following:

  • Review and report on compliance with Department of Health Services regulations on all 28 facilities, as well as provide a collective, comparative analysis of all 28 assets from a compliance standpoint.
  • Review Medicare patients and payments in all facilities and, to a degree, in all Genesis facilities as part of understanding the risk of audits.
  • Complete three case studies on other skilled nursing home chains that have been audited for comparative purposes to Genesis to further assess related risks.
  • Conducted ten separate analyses with exhibits on the Medicaid system in ten states, including weighing the potential impact of the various timing of managed care implementation in each state.
  • Provide recommendations on facilities that should be removed from the acquisition and replaced with other facilities based on a combination of compliance, the balance of the portfolio in particular states, including states with less favorable reimbursement, and a variety of other factors.

SC has a experienced staff, but in addition to Tim’s relationships built over 30 years with many retired executives that assist us at different times as third party advisors when we take on substantial engagements to conduct thorough, efficient and manageable due diligence on behalf of the buyers, sellers and investors of skilled care to senior housing projects nationwide.
